Diretor Jurídico

Responsible for leading the Company’s Legal function and ESG agenda in Brazil, ensuring legal, regulatory, corporate, contractual, environmental, corporate governance, and sustainability compliance across the Company’s operations. Acts as a strategic partner to the Chief Executive Officer, Executive Leadership Team, and Board of Directors, supporting decision-making, the implementation of corporate policies, the strengthening of governance, and the integration of ESG practices into the Company’s activities, with a focus on value protection, integrity, operational efficiency, and sustainable growth.

• To provide legal representation to the Company within Brazilian and international legal framework.
• To provide internal legal consultancy to all departments of the Company.
• To ensure that the Company’s competitive interests are positioned in due compliance with all statutory and regulatory requirements, as well as with the Company’s internal governance procedures.
• To create the Policies and Procedures establishing the use of internal and outsourced legal services.
• To hire, provide guidance and develop a high-performance team.
• To manage the records of the Company assets, including real estate assets, at public notaries and other registries.
• To participate in or lead commercial and financial negotiations, to draft, analyze, review and validate all contracts.
• To select, hire and control outsourced legal service providers, within the corporate budget frame.
• To initiate and manage all corporate activities, as well as to update the company's corporate books and records.
• To support the Chief Executive Officer in leading the Company to meet the targets established by the Board.   
• To prepare and present information to the Board, when required.
• To provide legal advice and guidance to management on all legal issues.
• To serve as Board Secretary, when required.
• To develop and advise on corporate governance policies.
• To develop and provide trainings on legal issues, processes, and policies to multi-level audiences in all departments.

Education:

• Bachelor’s degree in Law, with active registration with the Brazilian Bar Association (OAB).
• English - Fluent profesional.

Experience: 

• Minimum of 10 years of experience in a Legal function within a corporate environment, including at least 3 years in a leadership position.
• Experience in agricultural commodities (soft commodities) or international commodities trading and port operations.
• Experience in developing or overseeing policies, indicators, reports, audits, internal controls, and initiatives related to ESG, compliance, governance, and sustainability.

Technical Knowledge:

• Knowledge of corporate governance, corporate sustainability, general legal matters, due diligence, internal policies, reporting to governing bodies, and ESG best practices applicable to corporate groups, port operations, infrastructure, logistics, and commodities trading.

Leadership Competencies:

• Behavioral competencies required to lead a complex organization.
• Ability to prepare clear and concise written or verbal reports, as well as guide others in the preparation of such materials.
• Ability to develop and maintain strong relationships with external stakeholders designated by the Chief Executive Officer (CEO)

Employment Type: Employment under the Brazilian CLT regime, with 100% on-site work at the Company’s office in São Paulo, SP (Av. Dr. Cardoso de Melo, 1184 – 15th Floor – Vila Olímpia).
